Rationale for question

Corporate governance combines both protocols and structures by which an organisation is directed, operated and controlled. A company's corporate governance structure specifies the distribution of rights and responsibilities of the board, its managers, shareholders and other stakeholders.

Corporate governance may appear to be a complex and technical matter, but it is really about the basics of the business organisation. It establishes corporate accountability and transparency, and sets out directors' duties with regard to properly and honestly managing the business.

Poor corporate governance has resulted in major corporate failures. Probably the most high-profile case - amongst several in recent years - was that of Enron in 2001. Enron had grown very rapidly to become one of the world's largest companies, but collapsed when it emerged that a handful of senior executives had colluded in perpetrating massive fraud. Corporate collapses can have critical adverse effects on other businesses, cost jobs, wipe out investments and empty pension funds that employees depend on in retirement.

Every company, irrespective of size or sector, requires clear lines of communication, responsibility and accountability. All companies will have systems and processes of management, but smaller companies may have less formal methods.

We have a small core management team and therefore governance is very straightforward and transparent.

There is a Managing Director who manages the team through face to face and also remote team meetings and reviews with principle employees, in which company strategies are discussed, adopted, and/or amended. These are held throughout the year.

Any employee, including any freelancers working on specific projects, is invited to discuss freely any aspect of company management and functionality with the MD, at any time. On a daily basis, we maintain contact with our Trainers via an Internet bulletin board as well as organising Skype conference calls to discuss both general and specific business issues.

We attempt to gather all Trainers together at annual Trainer Rallies, which are day long sessions combining presentations, workshops, question and answer sessions. Given the very dispersed nature of our training network, these may become regional gatherings. We are also developing webinars so that we can deliver new and updated training sessions with groups of Trainers without them having to incur travel expenses.

Our business is audited by our accountants; we have not had any other external auditors involved with it thus far.
